1. Agreement to Terms

Welcome to ATS Pal. This document constitutes a legally binding agreement ("Agreement") between you ("User," "You") and ATS Pal ("We," "Us," "Our," or the "Service"). By creating an account, accessing, or using the atspal.com website and its related services, you acknowledge that you have read, understood, and agree to be bound by all the terms and conditions contained herein.

If you do not agree to any part of these terms, please refrain from using the Service.

2. Definitions

Service: Encompasses all resume optimization services, job alignment analysis, tools, algorithms, content, and the atspal.com website provided by ATS Pal.

User: Any individual who creates an account and utilizes the Service.

User Content: All data, text, resumes, cover letters, and other information that you submit or upload to the Service.

Credits: The non-refundable units purchased to use various features of the Service.

3. User Accounts, Credits, and Responsibilities

Eligibility

You affirm that you are at least 18 years of age and possess the full legal capacity to enter into a binding contract. The Service is not intended for use by individuals under the age of 18.

Account Security

You are solely responsible for maintaining the confidentiality of your account information, including your password, and for all activities that occur under your account. You agree to provide accurate, complete, and current information during registration (profile creation) (profile creation).

Credit Purchases

Access to core services requires the purchase of Credits. All purchases are final and non-refundable.

Credit Validity

Purchased Credits do not expire. However, in the event that ATS Pal decides, for commercial, technical, or legal reasons, to discontinue the Service in whole or in part, users will be notified via their registered email address. From the date of notification, users will have a 14-day period to use their remaining Credits on any active services. If providing the Service is not feasible during this period, ATS Pal will offer a commercially reasonable method for reimbursing the value of unused Credits.

4. Intellectual Property and Data License

ATS Pal's Ownership

All intellectual property rights in the Service—including but not limited to the code, designs, processes, algorithms, brand name, and proprietary content—are the exclusive property of ATS Pal. Any unauthorized copying, reverse-engineering, or distribution is strictly prohibited.

User's Ownership

You retain full ownership of your User Content.

License Granted to ATS Pal

By submitting User Content to the Service, you grant Us a worldwide, perpetual, irrevocable, royalty-free, and transferable license to use your User Content for the following purposes:

• To provide, maintain, and improve the Service.
• To conduct analysis, research, and develop new products.
• To use anonymized and aggregated data for training our proprietary artificial intelligence models, for statistical analysis, and for algorithm enhancement. This right shall survive the termination of your account.

License to Use Browser Extension

ATS Pal grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the Extension solely for your personal, non-commercial purposes strictly in accordance with this Agreement.

Free Access

Currently, the Extension is provided free of charge to facilitate easier access to our services. ATS Pal reserves the right to modify this pricing model or introduce fees for specific features of the Extension in the future, provided that prior notice is given to users.

User Responsibility and Content Verification

The Extension is designed as a productivity tool to accelerate the process of submitting job details for analysis. While our system uses algorithms designed to be robust against textual noise (extraneous information), you acknowledge and agree that you are solely responsible for reviewing and verifying the accuracy and completeness of all content extracted by the Extension before submitting it to the Service. ATS Pal does not guarantee that the extraction will be error-free or perfectly clean. The final responsibility for the content submitted for analysis and resume generation rests entirely with the User.

5. Third-Party Services

To provide a powerful service, ATS Pal may utilize APIs, infrastructure, and software from third-party companies (such as cloud service providers and AI model providers). By using the Service, you consent to the sharing of necessary information with these third parties in accordance with our Privacy Policy.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATS PAL EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, NOR DO WE GUARANTEE THAT THE USE OF THE SERVICE WILL RESULT IN A JOB INTERVIEW OR A JOB OFFER.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ATS PAL, ITS DIRECTORS, EMPLOYEES, OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, OR GOODWILL. IN ANY CASE, ATS PAL'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THIS AGREEMENT SHALL BE LIMITED TO THE AMOUNT PAID BY YOU TO US IN THE PRECEDING THREE (3) MONTHS OR FIFTY CANADIAN DOLLARS ($50 CAD), WHICHEVER IS LESS.

8. Indemnification

You agree to defend, indemnify, and hold harmless ATS Pal and its affiliates, officers, and employees from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your breach of this Agreement, or your violation of any law or the rights of a third party.

9. Term and Termination

This Agreement is effective until terminated by either you or us. We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

10. Governing Law and Dispute Resolution

Governing Law

This Agreement shall be governed by the federal laws of Canada and the laws of the Province of Ontario, without regard to its conflict of law provisions.

Mandatory Arbitration

Any dispute arising out of this Agreement shall be resolved by binding, individual arbitration and not in a court of law.

Class Action Waiver

You agree to bring any claim only in your individual capacity and waive your right to participate in any class action lawsuit.

11. Miscellaneous

Entire Agreement

This Agreement, together with our Privacy Policy, constitutes the entire understanding between you and ATS Pal and supersedes all prior agreements.

Severability

If any provision of this Agreement is held to be unenforceable or invalid, that provision will be severed, and the remaining provisions will remain in full force and effect.

Assignment

You may not assign your rights under this Agreement without our prior written consent. ATS Pal may freely assign its rights and obligations under this Agreement.

Force Majeure

ATS Pal shall not be liable for any failure to perform due to causes beyond its reasonable control.

Changes to Terms

We reserve the right to modify these Terms at any time. It is your responsibility to review this page periodically. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
